End user License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee" or "you") and Conceptize ("Licensor," "we," "us," or "our"), governing your use of the software, assets, and services provided by Conceptize through www.conceptize.io ("Website").

1. License Types and Terms

1.1 Single Member or 1 Member License

Scope: For a single freelancer, student, or hobbyist.
Permitted Use: May be used by one individual only.

1.2 Indie Studio License

Scope: For studios or teams of up to 5 members.
Permitted Use: Assets may be shared and used within the licensed team.

1.3 Enterprise License

Scope: This license is for studios with higher than $1 million in revenue per year and covers teams of unlimited users within an organization.
Permitted Use: Assets may be shared and used within the licensed organization.

2. License Grant

Conceptize grants you a non-exclusive, non-transferable, limited license to use the software and assets in accordance with the license type purchased. All rights not expressly granted are reserved by Conceptize.

3. Permitted Uses

You may, under a valid license:

Use in commercial projects: Films, games, VR/AR, social media, marketing, and more.
Modify and customize: Retexture, edit, and incorporate assets into your unique creations.
Use in unlimited projects: As long as you have a valid Conceptize license.
Share within your licensed team: Studios and enterprises may distribute assets internally to their licensed members.
Publish and monetize your work: You may sell or monetize films, games, and creative projects that include Conceptize assets, provided they are embedded within a larger project.

4. Restrictions

You agree not to:

Resell, sublicense, or redistribute Conceptize assets in their original or modified form.
Use assets to train, develop, or contribute to AI or machine learning models.
Use assets under an incorrect license tier.
Claim the assets or their designs as your own intellectual property.

5. Intellectual Property Rights

All intellectual property rights in and to the software, assets, and any copies thereof are owned by Conceptize or its suppliers. This Agreement does not transfer any ownership rights.

6. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of the software and assets and destroy all copies thereof.

7. Disclaimer of Warranties

The software and assets are provided "AS IS" without warranty of any kind. Conceptize disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

In no event shall Conceptize be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of the use of or inability to use the software or assets.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law principles.
